Terms of Service

Welcome and thank you for using WorkSprout. When you use the platform and services provided by WorkSprout, you are agreeing to our Terms of Service. Please make sure you have carefully read these Terms of Service to be fully informed of your rights and obligations as a user of our platform and services.

1. Introduction

1.1 Mission

WorkSprout has the mission to enable a service that aides Talents and Employers in the labour market based on ethical recruitment. We provide Talents with the ability to create a profile of their professional persona and can get matched with interested matching Employers. Employers can create new job opportunities and receive potential Talent profiles. All parties will have full control over the process wherein no data will be shared without explicit consent from the sending party. In that regard WorkSprout offers all parties a range of services to improve oneself, the opportunity or move forward in their career through our Platform.

1.2 Scope

This User Agreement applies to all of the services provided by the WorkSprout platform, provided by 1001001 B.V. whose registered office is at Weeresteinstraat 152, Hillegom (The Netherlands), registered at the chamber of commerce of Amsterdam (the Netherlands), registrant number being 65161882. In compliance with the Dutch Data Protection Act (“Wet Bescherming Persoonsgegevens” or “WBP”), the processing of personal data is filed internally according to new regulation.

2. Definitions

User Agreement:
This User Agreement of WorkSprout.

WorkSprout:
WorkSprout B.V. whose registered office is at Weeresteinstraat 152, Hillegom, registered at the chamber of commerce of Amsterdam (the Netherlands), registrant number being 65161882.

Talent:
A person who has created a Profile and therefore has access to the Platform through his/her log in credentials.

Profile:
All of the information the Talent provides and uploads onto the Platform. This includes all background information as well as that uploaded into the Curiculum Vitae.

Platform:
The complete technical infrastructure and all of its capabilities that are offered through the url http://www.worksprout.com and mobile application.

Login credentials:
The combination of the users email address and password that gives the Talent access to the website and his/her Profile.

Employer:
The legal entity (which can be represented by a third party, e.g. a recruiter) that uses the Platform to get in contact with potential future employees for the purpose of recruitment, selection, and/or labour market communication.

Match:
The result of an automated process which assesses whether a Talent or Employer sufficiently meets its designated criteria. This is done through algorithms and human judgement provided by WorkSprout

Talent Profile:
A set of general and specific selection requirements selected by a Talent, incorporated in a data model developed by WorkSprout.

Employer Profile:
A set of general and specific selection requirements selected by an Employer, incorporated in a data model developed by WorkSprout.

3. Relevance

3.1 Legally binding agreement

By creating a Profile, a Talent or Employer enters a legally binding agreement and agrees to be bound by this User Agreement.

3.2 Disagreement with terms

If a Talent or Employer does not agree with any of the terms in this User Agreement then he/she may submit a written request to WorkSprout for different provisions. This can also be done by sending an email to legal@worksprout.com.

4. Services and limitation of liability

4.1 Disclaimer of any legal liability concerning communication between Talents and Employers.

WorkSprout does not regulate the communication between Talents and Employers. Therefore, WorkSprout has no control over the quality, safety, legality, integrity or accuracy of various parts of the Platform. WorkSprout therefore does not accept any legal liability for any content of any communication and/or any information that is not provided by WorkSprout.

4.2 Disclaimer of legal liability concerning any use of the Platform

WorkSprout will not accept any legal liability for damages resulting from the use of the Platform, including, but not limited to, an incorrect Match.

5. Profile

5.1 Being considered as Talent or Employee

Creating a Profile happens by entering the information that is required in the registration from, which is accessible via the URL https://www.worksprout.com/register and consequently clicking on the “Create Profile” button or “Sign up with Facebook”. From that moment on the person who completes this process is considered a registered Talent or Employer.

5.2 Guarantee of accurate and true information

A Talent or Employer warrants to WorkSprout a guarantee that all the information that a Talent or Employer has entered in the registration form and/or uploaded on the Platform, including, but not limited to the information entered in the CV section of the Talent, is accurate and true. If WorkSprout has a valid reason to believe that the information provided by a Talent or Employer is incomplete, untrue, misleading or incorrect, then it is entitled to delete the information, and if it so wishes, to terminate the Profile of the concerning in its entirety.

5.3 Restriction to create a Profile under someone else’s name

It is not allowed to create a Profile under someone else’s name unless this person has given permission.

5.4 Confidentiality of a Member’s password

A Member is responsible for the confidentiality of his/her password, which gives access to the Profile. It is not allowed for a Talent or Employee to grant access to any third party organization under any circumstances.

5.5 Personal Profile

A Profile is assigned to a designated individual person and is not transferrable.

5.6 Profile termination

A Talent or Employer may at any time terminate or deactivate his/her Profile by sending an e-mail requesting Profile termination or deactivation to info@worksprout.com. The Profile will then be terminated or deactivated as soon as possible. Upon termination, WorkSprout will not save the Talent or Employer data without his/her permission, except where the data is needed for financial or statutory purposes. Upon termination or deactivation, the Talent or Employer will receive a confirmation by email.

5.7 Profile termination by WorkSprout

WorkSprout has the right to terminate a Profile for no or any reason, at any time, with or without prior given notice.

6. License / Access of Profile by Talents or Employers

6.1 License

By ingesting data in the Platform, a Talent or Employer grants WorkSprout an unconditional, worldwide, unlimited, perpetual and royalty-free license to use this data, or any part thereof, in any way deemed fit for providing the Platform. In the event that WorkSprout would sell or transfer its – or parts of its – business activities to a third party, WorkSprout has and maintains the right to also sell and/or transfer the Profile of any Talent or Employer.

6.2 No more access after leaving a network

In the event the Talent or Employer leaves the Platform, the Talent or Employer loses the right to access, export, download or print the Talent or Employer Profile or send him/her messages, notifications, updates and/or other forms of communication.

7. Use of the Website

7.1 Entitlement to use the Website

A Talent or Employer guarantees that he/she is entitled to make use of the Platform (see article 5.2) and that the Talent or Employer acts in compliance with this User Agreement. Moreover, a Talent or Employer guarantees that he/she will at any time fulfil the commitments he/she made by agreeing to this User Agreement and will always act in compliance with the laws and rules governing the use of the Platforms.

7.2 Use is limited to labour market orientation

A Talent or Employer is only entitled to make use of the Platform for the purposes of labour market orientation as a potential future candidate, getting in touch and/or staying in touch with Employers and/or applying to jobs, internships, placements, events or any other opportunity offered through the Platform.

7.3 Not allowed to use the Platform for commercial purposes

It is explicitly not allowed to use the Platform for direct or indirect purposes other than stated by WorkSprout. That includes using, exporting, saving, and/or processing contact details of a Talent or Employer and/or any data and/or any other information displayed.

7.4 Not allowed to duplicate and/or make information public

A Talent or Employer is only allowed to use the information he/she receives from either a Talent or Employer or WorkSprout for personal objectives. The information may not be used for any other purpose, including duplicating it or making the information public without prior written permission from WorkSprout.

7.5 Not allowed to use, “scrape”, “crawl” or “spider” the Platform in an automatic or manual manner

The Platform is meant to be used for normal browser or application use. It is hence not allowed to use, “scrape”, “crawl”, “spider” the (data available on the) Platform or to access the data on the Platform with other technology or software. It is also not allowed to circumvent and/or to remove any technical security on the Platform or make this possible for others.

7.6 Responsibility for the information that is available on the Platform

A Talent or Employer accepts that he/she carries the responsibility for the content and nature of all information that he/she fills out, uploads and/or communicates on the Platform.

7.7 Other restrictions regarding the use of the Platform

Regardless any other terms of this User Agreement, a Talent or Employer is not permitted to use the Website:

  • for any unlawful cause;
  • in any way resulting in a diminished functionality of the Platform or that may cause damage to the functionality of the Platform;
  • for spreading, sending or uploading computer viruses or other files or software that cause damage to the    Platform, other Talents or Employers;
  • for spreading, sending or uploading material that is slanderous, insulting, obscene or threatening of nature or that may lead to irritation, inconvenience or unnecessary commotion;
  • in a way that results in an infringement of any right of any person or legal entity;
  • for spreading any material with the purpose of gaining publicity, promotion and/or advertising without the prior written permission of WorkSprout
  • 8. Intellectual Property Rights

    8.1 Intellectual property rights

    A Talent or Employer acknowledges that all copyrights, trademarks and all other intellectual property rights that are part of the Platfrorm, that become and are property of WorkSprout, will remain property of WorkSprout or its license providers and are part of the copyrights, adjacent rights and database rights of WorkSprout and other applicable rights as trademarks.

    8.2 Not allowed to download, copy, alter or make public

    It is explicitly not allowed to download, copy, alter or make public any files, software and/or materials that are available on the Platform for direct or indirect commercial purposes or for any purpose other than those described in article 7.2, unless prior written permission is given by WorkSprout.

    8.3 Not allowed to copy, alter or use source code

    It is not permitted to copy or alter the source code of the Platform, to use it as the basis for any work or to try to retrieve the source code in any way or sell, vest, sub-license, transfer or establish any right on the information or source code.

    9. Privacy

    9.1 Bound by Privacy Policy

    By using the Platfor, a Talent or Employer is bound by our [Privacy Policy].

    9.2 Permission to process data

    A Talent or Employer grants permission to WorkSprout to process the data that he/she fills out on- or uploads to the Platform and to incorporate these into one or more files.

    9.3 Processing of data by WorkSprout

    The processing of data that is filled out on- or uploaded to the Platform by a Talent or Employer, by WorkSprout, is done in the context of, amongst other things, offering services of WorkSprout, the maintenance of the relationship between WorkSprout and the Talent or Employer, the management of our technical infrastructure, the ability to fulfil our legal obligations, the execution of market studies, market- and user analysis, the improvement of our technical infrastructure and/or the usability of the Platform.

    9.4 Anonymous data collection about Website visits and user behaviour

    Besides the processing of data that is filled out on- or uploaded to the Platform by a Talent or Employer, by WorkSprout for purposes described in article 9.3, data collection is done with regard to visits of the Platform and the behaviour of a Talent or Employer on the Platform. This data is on the one side used for anonymous, statistical research and on the other side for adjusting the Platform to the preferences of a Talent or Employer as much as possible. The latter is, amongst other things, being done by the use of Cookies.

    9.5 Permission sending notifications

    A Member grants permission to WorkSprout me to send messages to the email address or via mobile phone if the Talent or Employer has indicated to receive these, that a Talent or Employer has filled out on the Platform, in the context of notifications of Talents or Employers and updates of any significance.

    10. Applicable law, choice of court, void and voidable terms

    10.1 Dutch law

    Dutch law is applicable to all contracts and agreements that involve WorkSprout as party.

    10.2 Choice of court

    In the event of a conflict between a Talent or Employer and WorkSprout that cannot be settled or concluded in any other way, the only designated court is the authorized court in Amsterdam.

    10.3 Void or voidable term

    In the event one or more terms of this User Agreement are void or voidable, the concerning term will be replaced by a valid provision that has the same effect.
